1. Agreement and eligibility
These Terms of Service are an agreement between Local Disco LLC, a Florida limited liability company doing business as Local Disco (“Local Disco,” “we,” “us,” or “our”), and the business purchasing or using the applicable service (“Buyer,” “you,” or “your”). By accepting these Terms or purchasing the Attention Audit, you confirm that you are acting for a business and are authorized to bind it.
Offer-specific checkout terms, the accepted product scope, and any separately signed order form are incorporated into these Terms. Other Local Disco services may require a separate proposal or agreement.
2. The Attention Audit
The $297 Attention Audit is an evidence-backed business and acquisition diagnosis for one business and brand, one primary offer, one website or conversion path, up to three Buyer-identified competitors, and up to three relevant paid or organic channels.
The included deliverables are:
- A normalized discovery and intake record.
- A five-category Attention Opportunity Score.
- An evidence-backed report that distinguishes facts, inferences, and evidence gaps.
- A prioritized 90-day roadmap.
- A concise video walkthrough.
- One 45-minute Audit Decision Session and a decision recap.
Implementation, production, account forensics, legal or regulatory review, guaranteed forecasts, unauthorized platform access, and additional businesses, offers, locations, competitors, or channels are excluded unless a separate written agreement says otherwise.
3. Payment, production, and refunds
The Audit price is charged through Stripe as a one-time payment. Production begins after verified payment when you submit a complete structured intake and Local Disco accepts it for processing.
- Before intake: the payment is fully refundable when cancellation is requested before structured-intake submission.
- After production starts: the fee is non-refundable because research, evidence collection, scoring, and report production begin immediately.
- Nonessential evidence gaps: missing or inaccessible inputs are identified honestly and do not automatically create a refund.
- Non-delivery: if Local Disco cannot deliver the purchased core scope, we will refund the payment in full to the original payment method.
- Duplicate payment: a verified duplicate charge is refunded in full.
Approved refunds are initiated within five business days. Your bank or card network controls when the credit appears. Contact admin@localdisco.com about billing errors or service concerns. This process does not restrict rights that applicable law or your card issuer provides.
4. Timing and expiration
Intake
You have 30 calendar days after purchase to submit intake and may request one 14-day extension before that deadline. We may send transactional intake reminders. If intake is never submitted, the Audit closes and we initiate a full refund because production did not begin.
Delivery
The target is two business days after complete, usable intake is accepted. A material input problem pauses that clock. You have 10 calendar days to correct an essential input. We proceed with a labeled evidence gap when the Audit can still be completed honestly; otherwise, we close the Audit and issue the non-delivery refund. Verified factual-correction requests are due within three business days after delivery.
Decision Session
The report and walkthrough are delivered at least one business day before the session. You must schedule within 30 calendar days after report delivery. One reschedule is included with at least one business day’s notice. A Local Disco-initiated change does not consume it.
After a late cancellation or no-show, we provide one recovery path that must be used within 14 calendar days and consumes the included reschedule. The session expires after a second no-show, failure to use that recovery path, or failure to schedule within the original period. Expiration does not remove access to delivered materials.
5. Buyer responsibilities
You are responsible for:
- Providing accurate information and links you are authorized to provide.
- Obtaining rights and permissions for submitted material.
- Authorizing Local Disco’s approved service providers to process submitted business information as reasonably necessary to produce and deliver the purchased Audit.
- Obtaining express permission before asking Local Disco to use another person’s voice, likeness, recording, or identifiable attributes in AI-assisted production.
- Reviewing regulated claims with appropriate licensed professionals.
- Business decisions, implementation, platform compliance, sales follow-up, capacity, pricing, fulfillment, and customer outcomes.
Do not submit passwords, authentication secrets, complete payment-card or bank data, government IDs, patient or protected-health data, children’s data, biometric identifiers, confidential third-party legal records, regulated financial-account information, or material you lack authority to provide. Local Disco does not offer a HIPAA-regulated Audit service and does not authorize PHI processing through intake.
6. Deliverable license and intellectual property
After full payment, Local Disco grants the Buyer a perpetual, worldwide, non-exclusive, royalty-free, fully paid license to use, copy internally, implement, and adapt the final report, roadmap, scorecard, and walkthrough for the Buyer’s internal business purposes. You may share them with employees, contractors, attorneys, accountants, and advisors supporting the business.
You may not resell or sublicense the Audit as a standalone product, publish it in full without written permission, present Local Disco’s methods as your own product, or use it to create a competing audit, consulting, or commercial training product.
Local Disco retains its frameworks, methodologies, scoring rubric, templates, prompts, workflows, software, automations, research methods, report structures, pre-existing material, general knowledge, and non-confidential improvements. You retain ownership of submitted materials and grant us a limited license to process and disclose them to our approved service providers as reasonably necessary for fulfillment and approved retention. This includes AI-assisted research, drafting, narration, captioning, presentation, and video-rendering providers. You represent that you have authority to grant that license. Third-party rights remain with their owners.
7. Confidentiality, proof, and AI
We treat nonpublic Buyer materials, business information, metrics, and Audit findings as confidential and use them only for fulfillment and support, secure service operation, approved service-provider processing, payments and communications, legal compliance, and permitted de-identified learnings. Disclosure to an approved provider for those purposes is not publication. Confidentiality does not cover information already public without breach, lawfully known, independently developed, lawfully received from an authorized source, or required to be disclosed. When legally permitted, we will provide reasonable notice before compelled disclosure.
Local Disco may use genuinely aggregated or de-identified learnings only when they do not identify or reasonably permit reidentification of the Buyer, disclose confidential information, reproduce Buyer creative or private performance data, or function as a case study. Any identifiable case study, testimonial, logo, result, or client example requires separate written permission.
The Audit may use AI-assisted research, drafting, and video rendering, but final deliverables receive human evidence and quality review. Local Disco may use Higgsfield to render the single concise walkthrough from an approved script containing permitted public observations and relevant business objectives, constraints, metrics, or other information the Buyer supplied. By accepting these Terms, the Buyer directs and authorizes Local Disco to submit that minimum necessary script to approved vendors for fulfillment. The standard path does not send the Audit PDF, raw intake, evidence packet, unnecessary customer contact details, access links, or internal identifiers.
Under Higgsfield’s standard service terms, submitted inputs and outputs may be used to improve its models. The Buyer confirms that submitted business information may be processed on that disclosed basis and that the Buyer will not submit prohibited data or material it lacks authority to authorize for vendor processing. This permission does not authorize Higgsfield or Local Disco to publish the Buyer’s nonpublic information. The approved PDF remains the detailed source of truth; the walkthrough is a guided summary and may not add findings, claims, scores, promises, or recommendations. We do not promise uniqueness or exclusive copyright protection for material applicable law treats as AI-generated. Our Privacy Notice explains provider processing, retention, and deletion.
8. Service warranty and no performance guarantee
Local Disco will perform the Audit in a professional and workmanlike manner, materially follow the published scope, use customer-authorized inputs and permitted public sources, apply the documented human quality gate, and support material public claims with evidence or label them as inferences or unknowns.
The Audit is business, marketing, creative, conversion, and acquisition analysis—not legal, medical, financial, tax, accounting, accessibility, cybersecurity, or regulatory-compliance advice. It is not a certification of compliance and does not guarantee rankings, traffic, leads, appointments, bookings, revenue, profitability, platform approval, or customer response. We do not warrant that third-party websites, platforms, data, links, or integrations will remain available or accurate.
9. Corrections and remedies
We will correct a verified factual error reported within three business days without additional charge. We will correct or re-perform a material failure to meet the published scope within a reasonable period. If we cannot cure a material scope failure, we will issue the approved non-delivery refund.
New goals, evidence, preferences, implementation requests, businesses, offers, markets, competitors, or channels are not factual corrections. Correction, re-performance, or the non-delivery refund is the Buyer’s primary contractual remedy for a deficient Audit.
10. Limitation of liability
To the maximum extent permitted by law, Local Disco’s aggregate liability arising from an Attention Audit will not exceed the amount the Buyer paid for that Audit. Local Disco will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunity, goodwill, anticipated savings, rankings, leads, customers, or data arising from use of the Audit.
These limitations do not apply to fraud, willful misconduct, or liability that applicable law does not permit the parties to limit.
11. Indemnity
The Buyer will defend, indemnify, and hold Local Disco LLC and its personnel harmless from third-party claims, damages, liabilities, and reasonable costs arising from unauthorized materials or data; false, misleading, unlawful, or infringing Buyer claims; the Buyer’s products, services, professional conduct, or fulfillment; implementation or misuse of the Audit; violation of law, platform rules, or another party’s rights; or a material breach of Buyer obligations.
This indemnity does not apply to the extent a claim was caused by Local Disco’s fraud, willful misconduct, or gross negligence.
12. Force majeure
Neither party is liable for delay caused by events reasonably beyond its control. The affected party must provide reasonable notice and mitigation. Force majeure extends affected deadlines but does not excuse payment already due or eliminate confidentiality, data-protection, refund, or legal obligations. Either party may end the Audit with the applicable refund if the interruption makes delivery impracticable for more than 30 calendar days.
13. Disputes, law, and notices
Florida law governs these Terms without applying rules that would select another jurisdiction’s law. Court proceedings must be brought in an appropriate state court in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida when federal jurisdiction exists. These Terms do not require arbitration, and either party may use an eligible small-claims court.
Before filing a claim, the complaining party must send a written notice describing the issue, relevant order, requested resolution, and supporting information, then allow 30 calendar days for good-faith resolution. This does not prevent urgent injunctive relief, protection of confidential information or intellectual property, response to a filed claim, or compliance with a legal deadline.
Notices to Local Disco use admin@localdisco.com. Formal dispute or legal notices must also be sent by tracked delivery to Local Disco LLC, PO Box 190032, Miami Beach, FL 33119. Notices to the Buyer use the order email unless replaced in writing.
14. General provisions
A separately signed order or amendment controls over checkout-specific terms and accepted scope, then these Terms, published operating descriptions, and marketing copy. The Privacy Notice controls personal-information processing but does not expand service scope.
The Buyer may not assign the agreement without written consent except through a bona fide sale of substantially all relevant business or assets. Local Disco may assign to an affiliate or successor through a merger, reorganization, financing, or sale of substantially all relevant business or assets. Permitted successors remain bound.
The accepted documents are the entire agreement for the purchased Audit. Material amendments are versioned and prospective. If a provision is unenforceable, it is narrowed or removed without invalidating the remainder. Failure to enforce a provision is not a waiver. The parties are independent contractors; no agency, fiduciary, employment, franchise, or partnership relationship is created. There are no third-party beneficiaries. Payment, ownership, confidentiality, retention, disclaimers, liability, indemnity, and dispute provisions survive where their nature requires it.
